1. Website information
Information on this website is general. It is not a substitute for advice based on your full circumstances. No professional engagement is created simply by browsing the site, downloading a sample or submitting an enquiry.
2. Starting a service
A service begins only when Ledger Grove has accepted the client, the scope and fee are agreed, any required identity or anti-money-laundering checks are complete, and the engagement terms have been accepted. Payment alone does not require Ledger Grove to accept work that cannot lawfully or professionally be undertaken.
3. Standard service scope
The pricing page describes standard packages and their limits. The client must provide complete and accurate records, explanations and access reasonably required to perform the work. Material historic reconstruction, specialist tax work, audit, forensic work, legal advice and work outside the agreed package are not included unless separately agreed.
4. Client responsibilities
Directors, owners and management remain responsible for the underlying records, business decisions, approving filings where required, providing information on time, preventing and detecting fraud, and telling Ledger Grove about material facts relevant to the work.
5. Professional work and reliance
Ledger Grove will perform agreed services with reasonable skill and care and may use proportionate or sample-based checks. The service is not an audit unless a separate written engagement expressly says otherwise. Ledger Grove may rely on information supplied by the client and is not responsible for losses caused by incomplete, inaccurate or late information.
6. Fees and payment
Standard packages are billed monthly in advance using the recurring payment method selected during onboarding. The fee can be reviewed where transaction volume, entities, complexity or requested services materially change. Additional work will be discussed before material out-of-scope work is undertaken.
7. Termination
Unless a separate engagement says otherwise, either party may terminate an ongoing monthly engagement with 30 days’ written notice. Ledger Grove may suspend work where fees are unpaid, information is repeatedly withheld, unlawful or unethical action is requested, or continuation creates material legal, regulatory or professional risk.
8. Confidentiality and data
Client information will be treated as confidential except where disclosure is authorised, required by law or needed by service providers or professional advisers subject to appropriate obligations. Electronic communication and cloud accounting systems are used as part of normal delivery.
9. Records and working papers
The client retains ownership of its source records and final client-specific deliverables. Ledger Grove retains ownership of internal working papers, methodologies, templates and processes, subject to the client’s rights in its own data.
10. Decisions and outcomes
Ledger Grove can provide analysis, recommendations and accounting support, but business decisions remain with the client. No specific tax saving, profit improvement, finance outcome or search-engine result is guaranteed.
11. Governing law
Unless a separate written engagement provides otherwise, these website terms and any non-contractual dispute connected with them are governed by the laws of England and Wales, with the courts of England and Wales having jurisdiction.
12. Separate engagement terms
Where a client receives a service-specific engagement letter or scope document, that document takes precedence over these website terms to the extent of any conflict.
